1. Agreement to Terms: By using our services or accessing the Viral Social Videos website, you agree to these Terms and Conditions. This agreement is between you ("Client") and Empower Digital, LLC, doing business as Viral Social Videos ("we," "us," or "our"). Please read these Terms carefully. If you do not agree, discontinue use of our services immediately. We reserve the right to update these Terms at any time, and your continued use of our services indicates acceptance of the updated Terms. 2. Services and Fees: We offer various media production services, including short-form and long-form video content creation. Specific details and pricing are outlined in your selected package. Fees are billed monthly, and payment is required in U.S. dollars. If payment is not received, we reserve the right to suspend or terminate services. 3. Recurring Monthly Charges: By signing up for our services, you agree to be billed on a recurring monthly basis for the duration of your contract. Charges will be automatically applied to your selected payment method at the beginning of each billing cycle. You are responsible for ensuring your payment information is up to date. If payment is declined, we may suspend or terminate your service until the payment issue is resolved. 4. Intellectual Property and Usage Rights: Both Viral Social Videos and the Client share ownership rights to the content produced. The Client may use the content freely for any purpose without additional licensing or compensation. We retain the right to use the content for promotional purposes unless otherwise agreed in writing. 5. Client Responsibilities: The Client agrees to provide accurate information and any necessary resources for content creation. The Client is responsible for ensuring that all content use complies with local laws and regulations. 6. Service Commitment and Termination: 6.1. Service Commitment: By engaging our services, the Client agrees to consecutive six (6) month service terms ("Commitment Periods"). Each Commitment Period begins on the date of the first payment and automatically renews for subsequent six-month terms unless terminated as outlined below. 6.2. Cancellation by Client: During a Commitment Period: If the Client wishes to terminate the agreement before the end of a Commitment Period, they may do so by providing thirty (30) days' written notice and paying an early termination fee equivalent to fifty percent (50%) of the recurring monthly fee. At the End of a Commitment Period: The Client may opt not to renew the agreement for a subsequent Commitment Period by providing thirty (30) days' written notice prior to the end of the current Commitment Period. 6.3. Termination by Viral Social Videos: We reserve the right to terminate services under the following conditions: Non-Payment: If payment is not received within ten (10) days after the due date, we may suspend or terminate services until the outstanding balance is paid in full. Violation of Terms: Any breach of these Terms and Conditions by the Client may result in immediate termination of services. 6.4. Automatic Renewal: Unless terminated as outlined above, this agreement will automatically renew for successive six (6) month Commitment Periods, subject to the same terms and conditions. 6.5. Modifications: Any modifications to this agreement, including changes to the Commitment Period or services provided, must be agreed upon in writing by both parties. 6.6. Acknowledgment: By entering into this agreement, the Client acknowledges understanding and acceptance of the recurring six-month service commitment and the associated terms for cancellation and termination. 7. Dispute Resolution: In the event of a dispute, both parties agree to first attempt resolution through informal negotiations. If unresolved, the dispute will be handled through binding arbitration in Texas, USA. Any legal action must be initiated within one year of the cause. 8. Limitation of Liability: Viral Social Videos is not liable for any direct, indirect, or incidental damages arising from the use of our services. Our total liability will not exceed the amount paid by the Client in the six months prior to any claim. 9. Privacy and Data Management: We respect your privacy and will handle personal data according to our Privacy Policy. By using our services, you consent to the collection and use of this data. 10. Modifications: We may modify our services or these Terms at any time. Significant changes will be communicated, but it is the Client’s responsibility to review the Terms periodically. 11.
