This Agreement (“Agreement”) is entered into as of the date of signature by and between Empower Digital LLC, doing business as Viral Social Videos (“Service Provider”), and the undersigned client (“Client”). 1. Scope of Work Viral Social Videos agrees to deliver the following services each month for the duration of this Agreement: Monthly Deliverables Include: 1 Production Day at Sound Shed Studios in Austin, TX or on-location (within agreed travel range) Complete Scriptwriting & Hook Development (based on Client goals, trends, and vertical) 30+ Short-Form Videos formatted for Reels, TikTok, and YouTube Shorts 2 Long-Form Videos (e.g. Podcast Episodes, YouTube Series, or Promo Videos) Full Social Media Management including: Scheduling + Publishing Strategy + Growth Recommendations Caption Writing Optimization by Platform Custom Project Dashboard for task tracking and approvals Studio Access + Equipment included (lighting, audio, cameras, editing) 2. Term & Commitment This agreement requires a 6-month commitment, beginning on the start date signed below. The Client agrees to maintain service for the full term. Early termination by the Client will result in a final balance equal to the remaining contract value. 3. Payment & Billing The total package cost is $6,500 per month, due every 30 days. Payment will be made by debit, or credit card via invoice or secure payment portal. All fees are billed in U.S. dollars Late payments incur a 5% monthly fee Production scheduling may be delayed if payments are not current 4. Intellectual Property Client retains full rights to all final, delivered video and photo content. Viral Social Videos retains the right to use work samples for portfolio and promotional use unless otherwise agreed in writing. 5. Scheduling & Production Terms Production dates must be confirmed 7+ business days in advance Client is responsible for providing timely approvals and access to any required personnel or locations A rescheduling fee may apply for changes made within 72 hours of shoot day 6. Cancellation & Termination Client may not cancel before the 6-month period is completed. Upon completion of the term, the Client may choose to renew a new 6-month agreement Viral Social Videos reserves the right to terminate service due to non-payment, policy violations, or misuse of content 7. Limitation of Liability Viral Social Videos will not be liable for any incidental, indirect, or consequential damages, including lost profits. Liability is limited to the amount paid by the Client in the 30 days preceding any claim. 8. Dispute Resolution Any disputes will first be addressed through informal resolution. If unresolved, binding arbitration will occur in Texas. 9. Confidentiality All business strategies, scripts, and unpublished media remain confidential between the parties. Each party agrees not to disclose any confidential material to third parties. 10.
